SALES GENERAL AGREEMENT
Customer’s Satisfaction, Warranty and Liability for Customers and Distributors

It is the express wish of the Customer and Medicam Inc. that this Agreement and any related documents are drawn up in the English language. Le Client et Medicam Inc. confirment qu’il est de leur volonté expresse et réciproque que ce contrat et tout contrat qui s’y rattache soient rédigés en anglais. If you have tried a product and it is defective, we will offer you an exchange in the first 10 days. If you are willing to upgrade your equipment in the first 60 days following delivery of your equipment, we will charge you only for the difference in price between your equipment and the new one at the suggested retail price plus shipping and handling fees. We will give you the opportunity to upgrade your equipment between 61 and 180 days after delivery of the equipment by giving you a credit corresponding to 50% of your original purchase price less delivery fees for a brand new equipment at the suggested retail price. Medicam Inc. offers a 12 months warranty parts and labor. Warranty will be void for any misuse, abuse or damage done to the unit or any of its components. Consumables are not guaranteed and have a limited life. Any client and/or distributor over using the consumables and not respecting the replacement time of such devices will see its warranty cancelled. Water has to be added or changed to any unit on a regular basis. Not doing so will also void the warranty. Handpieces or crystals are NEVER under warranty.

Extended warranty (2nd and 3rd year) for clients and/or distributors who have acquired such additional coverage will be limited only to major parts: Light source, power supply and water tank. Screen control panel, hand piece, switches, water caps, etc..may have to be replaced after a period of time due to the permanent use. Customer should be sending the unit back to Medicam (at the customer’s expenses and shipping back pre-paid by the customer insured, by express delivery and with a tracking number) for a period of 1 week (7 OPEN DAYS) for full cleaning and check up once in the 1st year and twice any subsequent year.

Any extended warranty has to be purchased before the 1st day of the 10th month following the acquisition of the unit. An invoice will be sent to all customers for service renewal at the 9th month. All customers HAVE TO send by fax a meter reading of their unit each last day of the month to keep the warranty active.

Any overused unit should be upgraded to a higher model to avoid cancellation of the warranty.


To arrange for the return of your equipment, simply request a Return Materials Authorization number by faxing a copy of your invoice to 1-514-737-0931 or emailing at service@medicam.ca. Failure to submit the invoice may result in unnecessary delays. Please include a fax number so we may fax your approved return number, packaging instructions, and return address. If a fax number is not available, please supply us with your email address. Exchanges (EX-RMA’s) and Warranty Repair (WR-RMA’s) may be applied for by email at service@medicam.ca or by fax at 514-737-0931. For the protection of Medicam Inc, subsidiaries or affiliates, as well as the customer, full packaging instructions and correct RMA procedures must be provided and complied with to avoid damage to merchandise by improper packing. At no time and under no circumstances, a customer will be eligible for a full or partial refund. Any unit has to be sent back in its original packaging for repair.

 

1. Customer is required to apply for a RMA number (Returned Material Authorization), which will be issued at Medicam’s sole discretion. 2. For any defective unit delivered, all items must be accompanied by the original invoice and a clear description of the problem. 3. Claims must be made maximum 5 days following delivery. 4. Restocking fees up to 50% may apply to items, which are used, abused, missing, damaged, or otherwise incomplete. If returned products are claimed to be defective, a complete written description of the nature of the defect must accompany all returned products. Items not eligible for return or sent back by the customer without an RMA number will be returned to customer, transportation collect and not accepted by Medicam at the sole risk of the customer. Shipping is not refundable. Exceptions to RMA program such as Opened/Used Hand Pieces, Crystals, etc…: may not be returned, by law. Items will be repaired or replaced in accordance to manufacturer’s warranties. Before connecting the hand piece, activating the unit, adding water, unwrapping the crystals, etc…, we suggest that you check the shipping container and packing list to verify that you have received exactly what you ordered. Special Order Items: may not be returned (includes items that were modified, customized, or changed while in the custody of the customer). Textbooks/Instruction Literature, Operation Manual: may also be returned. Expired/Discontinued Items: may not be returned (articles which cannot be returned to the manufacturer).

All units have to be protected with a proper power surge device and a spike suppressor and never be plugged directly in the wall outlet in order to protect the electronic components from electrical intensity variations. All requirements from Medicam Inc or any of its distributors or subsidiaries have to be respected. Please check all requirements in the user manual. Non respect of any clause of the requirements will void the warranty at the sole responsibility of the client.

Medicam Inc warrants the customer that products purchased hereunder will conform to the applicable manufacturer’s specifications for such products.


Certification Section and Conditions

The Client or Distributor shall comply with all Applicable Laws existing in the Territory from time to time concerning the Products and shall keep Supplier informed of any relevant changes therein. In particular but without limitation Distributor / Customer (i) shall at its own expense obtain all necessary permissions, consents and licenses to enable client or Distributor to market, sell, buy or use the Products in the Territory; (ii) shall obtain any other governmental or other permission, consent or license or make any registration necessary for the full and legal operation and performance of this Contract; (iii) shall be responsible for the management of the importation of the Products into the Territory in compliance with Applicable Laws and the payment of all applicable import duties, taxes and other charges, and shall promptly upon Supplier's request provide to Supplier copies of all documents evidencing the same. Client or Distributor acknowledges and confirms they have verified that the Products acquired comply with all Applicable Laws existing in its Territory or in any territory the client or distributor shall sell, rent or use the equipments.  The Distributor / Customer confirms that all applicable laws and regulations , including specific custom requirements or taxes in his country and including any other additional expenses, fees or any documentation have been checked prior to purchase. All equipments listed and advertised in this website and at Medicam Locations are not certified for sale or use in Canada until Medical and esthetic class 2, 3 and 4 equipments receive approval and valid certification from Health Canada. 

Any value-added performed by Medicam Inc. on its products will conform to applicable customer’s specifications relation to such work. Medicam Inc. offers no other warranty, express or implied, with respect to the product. In particular, Medicam Inc. offers no warranty respecting the merchantability of the product or their suitability or fitness for any particular purpose or use or respecting infringement. However, Medicam Inc. will transfer to customer whatever transferable warranties and indemnities. Medicam Inc receives from the manufacturer of the product. With respect to value-added work by Medicam Inc. which does not meet customer’s specifications. Medicam Inc. liability is limited (at Medicam Inc. election) to (1) refund of customer’s purchase price for such products without interest less transportation fees, (2) repair of such products, or (3) replacement of such product; provided, however, that such product must be returned to Medicam Inc.  (at Medicam Inc. election), along with acceptable evidence of purchase, within ten (10) days from date of delivery, all transportation charges prepaid by Customer. Customer shall not in any event be entitled to, and Medicam Inc. shall not be liable for indirect, special, incidental or consequential damages of any nature including, without being limited to, loss of profit, promotional or manufacturing expenses, overhead, injury to reputation or loss of customers. Customer’s recovery from Medicam Inc. for any claim shall not exceed customer’s purchase price for the products irrespective of the nature of the claim whether in contract, tort, warranty, or otherwise.


Payment and Delivery Terms.

We accept payment by certified checks, Bank money order, International postal money order, and wire transfer. If Payment is made from a foreign country, customer may inquire for the applicable rate to convert currency in Dollars. Exchange may not be daily rate since Medicam Inc. is not manufacturing its inventory at the time of the current order. Total amount to be paid in full unless agreed and mentioned on the terms of the contract. A $35.00 return check fee applies to all non-collectible checks. Medicam Inc. reserves the right to electronically retrieve NSF, Stop Pays, and other non-collectible funds from your account. Shortages surcharge apply, except when special services are requested. Puerto Rico imposes a 6.6% excise tax, which is not collected by Medicam Inc. Alaska; Hawaii & Pacific Islands customers are responsible for any applicable taxes. International customers are responsible for applicable duties and/or taxes in their country.

Delivery and Title

Medicam Inc. will make reasonable efforts to initiate shipment and schedule delivery as close as possible to customer’s request delivery date(s). Customer acknowledges that delivery dates provided by Medicam are estimates only and that Medicam Inc will not be liable for failure to deliver on such dates and time. We may make selection of the carrier and delivery route unless specifically designated in writing by the customer. The customer in addition to the purchase of the product shall pay all transportation charges from Medicam Inc Shipping premises. Subject to our right of stoppage in transit, delivery to a carrier will constitute delivery to customer, and risk of loss will thereupon pass to the customer; however, title shall remain in Medicam Inc until the customer makes payment in full for the product. Products invoiced and held by Medicam at customer’s request will be held at customer’s risk and expense. Delivery of any installment of product within sixty (60) days after the date requested and order confirmed will constitute a timely delivery. Delivery of a quantity which does not vary by more than ten percent (10%) from the ordered quantity will constitute full performance of such delivery. Delay in delivery of one installment will not entitle customer to cancel that installment. Customer is responsible for all imports taxes, tariffs, levies, or fees.

Statements and Advice

If statements or advice, technical or otherwise, is offered or given to customer, such statement or advice will be deemed to be given as an accommodation to customer and without charge and Medicam Inc. will have no responsibilities or liabilities whatsoever for the content or use of such statements or advice.

Force Majeure

Medicam Inc. will not be liable for delays in delivery or for failure to perform its obligation due to causes beyond its reasonable control, including, but not limited to, product allocations, material shortages, labor disputes, transportation delays, unforeseen circumstances, acts of God, acts or omissions of other parties, acts or omissions of civil or military authorities, government priorities, fire, strikes, floods, epidemics, quarantines restrictions, riots, or war. Medicam Inc. time for delivery or performance will be extended by the period of such delay or Medicam Inc. may, at its option, cancel any order or remaining part thereof without liability by giving notice to customer. Discounted equipment or on sale usually generates a very high volume of sales and may cause a delivery delay. A delivery within Sixty (60) days after payment will constitute a timely delivery.

General

The terms and conditions may not be modified or cancelled without Medicam Inc. written agreement. The sale of products hereunder will be governed by the terms and conditions, notwithstanding contrary or additional terms and conditions in any purchase, planning schedule, acknowledgement, confirmation or any other form or document issued by either party effecting the purchase and/or sale of products.
